1. Agreement to Terms

By accessing and using Novera Invoice ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

Novera Invoice is an AI-powered invoice processing service that:

  • Extracts data from invoice documents using artificial intelligence
  • Provides export capabilities to various accounting platforms
  • Offers batch processing and duplicate detection
  • Maintains secure cloud storage for your documents

3. User Accounts

To use our Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your contact information remains current

4. Acceptable Use

You agree not to:

  • Upload malicious files or attempt to compromise our systems
  • Use the Service for illegal activities or to process fraudulent documents
  • Share your account credentials with unauthorized parties
  • Attempt to reverse engineer or copy our AI technology
  • Exceed usage limits or attempt to circumvent billing
  • Upload documents containing sensitive personal data unrelated to invoicing

5. Subscription and Billing

Subscription Plans

  • Starter: $25/month (100 invoices)
  • Professional: $59/month (500 invoices)
  • Enterprise: $199/month (unlimited invoices)

Billing Terms

  • Subscriptions are billed monthly or annually in advance
  • 7-day free trial available for new accounts
  • Plan upgrades take effect immediately with prorated billing
  • Plan downgrades take effect at the next billing cycle
  • All fees are non-refundable except as required by law
  • Prices may change with 30 days written notice
  • Overdue accounts may be suspended after 7 days
  • You authorize automatic recurring billing

Payment Processing

  • Payments processed by third-party providers subject to their terms
  • You must provide current, complete payment information
  • Failed payments may result in service suspension
  • Disputed charges must be reported within 60 days

6. Service Level Agreement (SLA)

Service Availability

  • We target 99.5% uptime for our Service (excluding scheduled maintenance)
  • Scheduled maintenance will be announced 48 hours in advance
  • Emergency maintenance may occur without notice
  • Service credits may be provided for extended outages at our discretion

Performance Standards

  • Invoice processing typically completes within 2-5 minutes
  • Processing times may vary based on document complexity and queue volume
  • We do not guarantee specific processing times or accuracy rates
  • Support response times: 24 hours for standard, 4 hours for Enterprise

7. Data and Privacy

Your data privacy and security are fundamental to our Service:

Data Ownership and Rights

  • You retain full ownership of all invoice data you upload
  • We process data solely to provide our services to you
  • You can export or delete your data at any time
  • Upon termination, you have 30 days to retrieve your data

Data Security and Compliance

  • We implement industry-standard encryption and security measures
  • Data is stored in secure cloud infrastructure provided by reputable third-party providers
  • We comply with GDPR, CCPA, and other applicable privacy regulations
  • Regular security audits and penetration testing are conducted
  • We may use aggregated, anonymized data for service improvements

Data Breach Notification

  • We will notify affected users within 72 hours of discovering a breach
  • Notifications will include nature of breach and remediation steps
  • We maintain cyber liability insurance coverage

8. Warranties and Disclaimers

Service Warranties

We warrant that our Service will perform substantially in accordance with our documentation. However, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

  • We disclaim all warranties, express or implied, including merchantability and fitness
  • We do not warrant uninterrupted, error-free, or secure operation
  • We do not guarantee specific accuracy rates or processing times
  • Third-party integrations are subject to their own terms and availability

AI Accuracy Limitations

While our AI typically achieves high accuracy rates on clear documents, you acknowledge that:

  • AI extraction may contain errors and should always be reviewed
  • You are solely responsible for verifying all extracted data accuracy
  • We are not liable for any decisions based on extracted data
  • Accuracy varies based on document quality, format, and complexity
  • You should not rely solely on AI extraction for critical business decisions

9. User Indemnification

You agree to indemnify, defend, and hold harmless Novera Group, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms of Service
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit to the Service
  • Your negligent or wrongful conduct
  • Any tax obligations arising from your use of the Service

10. Force Majeure

We shall not be liable for any failure or delay in performance under this Agreement which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other acts beyond our reasonable control, including internet service provider failures or delays, denial of service attacks, or other cyber attacks.

11. Intellectual Property

Our Intellectual Property

  • The Service, AI technology, software, and documentation are owned by Novera Group
  • All content, trademarks, and intellectual property are protected by law
  • You may not copy, modify, reverse engineer, or distribute our technology
  • You receive only a limited, non-exclusive license to use the Service

Your Content

  • You retain ownership of all invoice data and content you upload
  • You grant us a license to process your content to provide the Service
  • You represent that you have rights to all content you upload
  • You will not upload content that infringes third-party rights

12. Termination and Suspension

Termination Rights

  • You may cancel your subscription at any time through your account settings
  • We may suspend or terminate accounts for violations of these terms
  • We may discontinue the Service with 30 days written notice
  • Termination does not relieve you of payment obligations incurred before termination

Effect of Termination

  • Upon termination, your access to the Service will cease immediately
  • You have 30 days to export your data before it may be deleted
  • We may retain data as required by law or for legitimate business purposes
  • Sections relating to liability, indemnification, and disputes survive termination

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NOVERA GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS
  • WE ARE NOT LIABLE FOR DECISIONS MADE BASED ON AI-EXTRACTED DATA
  • SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITS MAY NOT APPLY TO YOU

14. Dispute Resolution

Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@novera.group to seek informal resolution. We will work in good faith to resolve disputes within 30 days.

Binding Arbitration

  • Disputes will be resolved through binding arbitration, not court proceedings
  • Arbitration will be conducted under the rules of the American Arbitration Association
  • You waive your right to participate in class action lawsuits
  • Small claims court disputes under $10,000 are exempt from arbitration

Governing Law

These terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. Any arbitration will be conducted in Delaware.

15. Miscellaneous

Changes to Terms

  • We may modify these terms at any time with or without notice
  • Material changes will be communicated via email or in-app notification
  • Continued use of the Service after changes constitutes acceptance
  • If you disagree with changes, you must stop using the Service

General Provisions

  • If any provision is unenforceable, the remainder remains in effect
  • Our failure to enforce any right does not waive that right
  • These terms constitute the entire agreement between us
  • You may not assign your rights without our written consent
  • We may assign our rights and obligations to any party

16. Export Controls and Compliance

You acknowledge that the Service may be subject to export control laws and regulations. You agree to:

  • Comply with all applicable export control laws and regulations
  • Not use the Service in countries subject to trade embargoes
  • Not provide access to individuals on government restricted lists
  • Obtain any required export licenses before using the Service internationally

17. Third-Party Services

Our Service integrates with third-party services and platforms. You acknowledge that:

  • Third-party services are governed by their own terms and privacy policies
  • We are not responsible for third-party service availability or functionality
  • Integration features may change or be discontinued based on third-party policies
